Scope of Terms and Conditions of Use

1. These Terms and Conditions of use (hereinafter referred to as the “T&C”) describe the terms and conditions on which Erudix offers you access to its Web site on the Internet (the “Site”) and its services relates to the Site.
2. These T&C govern the use of the Site and are incorporated by reference and made part of each personal account which you create. To enter your personal account, it is required to enter your password and click the “I agree with the Privacy Policy, Terms and Conditions of use” checkbox. You acknowledge by clicking on this checkbox, you have expressly agreed to be bound by the Privacy Policy and T&C of Erudix. You agree that by using the Site you reaffirm the acceptance of the Private Policy and T&C and reject any and all terms and conditions other than these specified herein.
3. Erudix may amend, modify or supplement these T&C at any time by posting the amended, modified or supplemented terms on the Site. Erudix will inform you by posting a message on the Site in which the amendments, modifications and supplements to the T&C in full and/or with a reference to a specific clause are detailed. This message will be posted for at least a thirty (30) day period following any such amendment, modification or supplement. The amended, modified or supplemented terms of use shall automatically be effective one (1) day after they are initially posted on the Site. Amendments, modifications and supplements shall bind you if you do not withdraw so during such ten (10) day period upon the posting of such amendment, modification or supplement.
4. You agree that it is not possible to partially agree to the terms and conditions stipulated in these T&C. Any acceptance as specified above implies the acceptance of all Terms and Conditions.
5. The Site is not to be used by minors (people less than 18 years old).
6. You acknowledge that the use of this Site is personal, and therefore that this use is not assignable.

7. This Site is built on mutual trust and these T&C help promote that trust among all users of this Site.
8. Signing up for a Erudix account is free. Erudix reserves the right to charge fees for the Erudix Service or any portion thereof, modify the pricing of, add to, or discontinue the Erudix Service or any portion thereof without prior notice.

Accessibility, Operation and Interference of the Site

1. Access to the Site is only possible by using a personal log-in name and password. You are entirely responsible for keeping the confidentiality of your log-in name and password. All activities occurring under your registration –with or without your knowledge- is your responsibility and should always be under your supervision. Erudix is not liable in case a third party accesses the Site by using your log-in name and password. Your rights as a Erudix user can be immediately suspended or terminated if you provide your log-in and/or password to another person.
2. Erudix may send you messages or information letter to announce new features, technical updates, functionality modification or other important information. Erudix may also contact you from time to time to conduct surveys related to the Site in order to improve its design and functionality. Although Erudix will not send you unsolicited information, by email or other means, except as mentioned here above, there is no currently available technology that will completely prevent the sending and receiving of unsolicited email.
3. You shall not attempt to gain unauthorized access to the functionality and operational systems, to the databases held by Erudix through any means such as (but not limited to) hacking and/or log-in/password forgery.
4. You agree and acknowledge not to use the information obtained through this Site for any purposes unlawful or prohibited by these T&C. You agree not to modify, redistribute, copy, monitor or republish any materials or software contained in the Site of in any subsequent material without prior written consent of Erudix. You agree not to frame or simulate, or assist third parties in framing or simulating the Site or any portion thereof.
5. You agree that you will comply with and be bound by all of Erudix’s policies, which are incorporated expressly and/or by reference herein. Erudix may, in its sole discretion, at any time, change any of its policies, the look, feel or functionality of the Site or some or all of the services provided on or through the Site.
6. You agree to comply with all applicable laws, statutes, ordinances and regulations regarding their use of the Site (including without limitation those governing unfair competition, antitrust of false advertising).
7. By becoming a Erudix user, you agree not to use Erudix to:
• Upload, post, email, transmit or otherwise make available any content that is unlawful, abusive, offensive, harassing, defamatory, discriminatory, or otherwise objectionable.
• Impersonate any person or identity, or falsely state or otherwise misrepresent your identity or your affiliation with a person or entity.
• Upload, post, email, transmit or otherwise make available any content that you do not have the right to make available under any law or under contractual or fiduciary relationships (such as insider information, or proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements).
• Upload, post, email, transmit or otherwise make available any content or initiate communication that infringes upon patents, trademarks, trade secrets, copyrights or other proprietary rights.
• Forge headers or otherwise manipulate identifiers in order to disguise the origin of any communication. transmitted through the Erudix Service.
• Upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, “junk mail”, “spam”, “chain letters”, “pyramid schemes”, or any other form of solicitation.
• Upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer or hardware or telecommunications equipment.
• Stalk or harass anyone
• Collect or store personal data about other users, including but not limited to information about another user’s work experience, skills, or reputation information or metadata such as the number or identity of contacts in another user’s Erudix profile.
8. Erudix reserves the right to refuse the access to and the use of its services to persons, entities, etc. that it finds, to its sole discretion, not appropriate to use and/of access the Site and/or the services. Further, Erudix reserves the right to terminate, suspend or limit your access to the Site, tot its sole discretion, at any time and without any liability to you or any third party.
Access to your Erudix account can be terminated by (but not limited to):
(a) requests by law enforcement or other government agencies
(b) breaches of violations of any guideline or agreement applying to your Erudix account, including the Privacy Policy and these T&C
(c) technical or security issues or problems
(d) self-initiated account deletion
(e) extended periods of inactivity Termination of your Erudix account includes (but is not limited to):
(a) removal of access to all offerings within the Erudix Service
(b) deactivation of your password and all related information, files and content associated with or inside your account
(c ) barring further use of the Erudix Service.

Intellectual property rights

1. The content, organization, gathering, software, graphics, sound, design and other matters related to the Site are protected under applicable patent, copyright, trademark, and other proprietary (including, without limitation, intellectual property) rights, and, other than as specifically allowed under these T&C or as specifically set forth on the Site, the copying, redistribution, use or publication by you of any such protected content or any part of the Site is prohibited. You do not acquire any ownership rights to any such content obtained by, on or through the Site.
2. Erudix does not claim property of the materials you provide, post, upload, submit or input. These materials can be, but are not limited to, feedback, ideas, suggestions and comments. However by providing, posting, uploading, submitting or inputting these materials you are granting Erudix permission to use these materials including, without limitation, the rights to: publicly display, copy, reproduce, distribute, transmit, edit, translate and reformat your submissions, and to publish its name in connection with the material you have submitted. Erudix will not give or pay any sort of compensation with respect to the use of the materials you have submitted. Erudix is not obliged to use or publish any material you may submit and Erudix may remove any material submitted at any time at its sole discretion. By providing, posting, uploading, submitting or inputting any material you warrant and represent that you own or otherwise control all rights to the material as described her above including, without limitation, all the necessary rights to provide, post, upload, submit or input the material.
3. All trademarks, service marks, product names, company names and logos appearing on the Site which are not property of Erudix, are the property of their respective owners.

Liability of Erudix

1. Erudix has no legal duty to update any information or statements contained on this Site, and therefore, such information or statements should not be relied upon as being current as of the date you access the Site. Moreover, any portion of the materials available on this Site may include technical inaccuracies or typographical errors. Changes may be made from time to time without notice to the information available on this Site, the Software and to the products/services described on this Site.
2. Erudix does not warrant that the functions contained in the materials/information available on this Site will be uninterrupted or error-free, that defects will be corrected, or that the materials, this Site or the server that makes them available are free of errors, bugs, worms, viruses or other harmful components and limitations. You, and not Erudix, assume the entire cost of all necessary servicing, repair, replacement and correction.
3. Under no circumstances, including, but not limited to, negligence, shall Erudix be liable for any profits, litigation or the like, whether based on breach of contract, breach of warranty, tort (including negligence) or otherwise and that result from the use of, or the inability to use, the Site or any downloaded materials, and represented information, even if Erudix or its representatives have been advised of the possibility of such damages.

Miscellaneous

1. All disputes arising in connection with these T&C shall be finally settled by the Courts of Brussels and applying Belgian law.
2. These T&C set forth the entire understanding and agreement between you and Erudix with respect to the subject matter hereof and is intended to supersede all prior negotiations, understandings and agreements.
3. Headings used herein are for the convenience of the parties only, are not substantive and shall not be used to interpret or construe any of the provisions contained herein.
4. These T&C shall be binding upon and inure to the benefit of each of the parties hereto and their respective successors and assigns, provided that you may not assign any of your rights or your privileges hereunder without the prior written consent of Erudix.

Language, Taal, Langue

1. You hereby acknowledge that you fully understand the English language, or that at least these T&C were translated in a language you understand before clicking on the “I agree with the Privacy Policy, Terms and Conditions of use” button.
2.
